1. Introduction

These Terms & Conditions ("Terms") govern your access to and use of the Pentamart website, mobile applications, and related services (together, the "Platform"), operated by Pentamart Limited ("Pentamart", "we", "us", or "our"), with its registered office at Gulshan, Dhaka-1212, Bangladesh. By creating an account, placing an order, or otherwise using the Platform, you confirm that you have read, understood, and agreed to be bound by these Terms, our Privacy Policy, and our Refund, Warranty, and Exchange Policies. If you do not agree, please do not use the Platform.

2. Definitions

Marketplace — the online platform where independent vendors list and sell their products to customers.
Vendor / Seller — a third-party business approved to sell products on Pentamart. The Vendor is the seller of record for its products, except for items sold directly by Pentamart or its own brands.
Customer / Buyer / you — any person who browses, registers, or purchases through the Platform.
Products — the goods and services listed for sale on the Platform.

3. About Our Marketplace

Pentamart is a multi-vendor marketplace. For most products, we act as an intermediary that connects you with verified independent Vendors and facilitates the order, payment, and delivery process. The contract of sale for those products is formed directly between you and the Vendor.

Every Vendor passes our proprietary multi-layer verification before being approved. We monitor Vendor performance and product quality on an ongoing basis. While this verification system enforces strict operational benchmarks for filtering and authenticity, it serves as an operational standard only.

Important: Pentamart’s verification system does not shift the underlying product-specific legal and regulatory liability from the third-party Vendor to the platform. Under the Consumer Rights Protection Act, 2009, the primary statutory liability for product defects, safety, and regulatory compliance rests with the manufacturer or the Vendor of record, except for items sold directly by Pentamart or its own brands.

4. Account Registration

You must be at least 18 years old to create an account on Pentamart.
You are responsible for maintaining the confidentiality of your account credentials.
You must provide accurate, complete, and current information during registration.
Pentamart reserves the right to suspend or terminate any account that violates these Terms.

5. Placing an Order

All orders are subject to product availability and Vendor confirmation.
Pentamart confirms orders via phone call before processing. Under applicable local guidelines, an order is not legally binding until explicit confirmation is achieved through this verification call.
Prices displayed are in Bangladeshi Taka (BDT) and include applicable taxes unless stated otherwise.
Pentamart reserves the right to cancel orders in cases of pricing errors, stock unavailability, or suspected fraud.

6. Payment

We accept the following payment methods:

Cash on Delivery (COD) — pay when your order arrives at your door.
Mobile banking — bKash, Nagad, Rocket.
Card payments — Visa, Mastercard, and other supported card gateways via SSL Commerz.

7. Delivery

In compliance with the Digital Commerce Operation Guidelines of Bangladesh, Pentamart ensures verified products are delivered within a maximum of 5 days within Dhaka and 10 days for outside districts, calculated from the date of order confirmation (unless delayed by unforeseen force majeure events).
All verified products are sealed with Pentamart's VERIFIED & SECURED packaging tape before dispatch.
Pentamart is not liable for delays caused by courier partners, natural events, or circumstances beyond our control.
Risk of loss passes to you upon delivery confirmation.

8. Prohibited Conduct

You agree not to:

Use the Platform for any unlawful purpose or in violation of any applicable Bangladeshi law.
Post false, misleading, or fraudulent reviews or product information.
Attempt to circumvent our security, verification, or payment systems.
Use another person's account without authorisation.

9. Intellectual Property

All content on the Platform — including the Pentamart logo, brand name, product images, and website design — is the exclusive property of Pentamart Limited or its licensors. You may not reproduce, distribute, or use any content without our prior written consent.

10. Limitation of Liability

To the fullest extent permitted by Bangladeshi law, Pentamart shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Platform. Our maximum liability to you shall not exceed the amount paid for the specific order in dispute.

11. Governing Law & Disputes

These Terms are governed by the laws of the People's Republic of Bangladesh, including the Consumer Rights Protection Act, 2009. Any disputes shall first be attempted to be resolved through mutual negotiation. If unresolved, disputes shall be referred to the courts of Dhaka, Bangladesh.

12. Changes to These Terms

Pentamart reserves the right to update these Terms at any time. Continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms. We will notify users of material changes via the Platform or email.
